Terms of Use

By accessing or using the Y Performance platform (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Y Performance ("we," "us," or "our").

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

Y Performance is a software-as-a-service (SaaS) platform that enables fitness coaches to design and deliver structured training programs and allows athletes to access, execute, and log those programs. The Service includes program management tools, workout tracking, and related features.

You must be at least 18 years of age to use the Service. By creating an account, you represent that you meet this requirement.

You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and account credentials
• Notify us promptly at y-performance-support@corevinus.com if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You may not share your account credentials with others or create accounts on behalf of third parties without authorization.

Coaches are users who create, manage, and assign training programs. By using coach features, you represent that you have appropriate qualifications, certifications, or experience to design training programs for others, and that you accept responsibility for the content you create.

Athletes are users who access and execute programs assigned to them. By using athlete features, you agree to consult with a qualified healthcare provider before beginning any new exercise program.

Y Performance does not verify the credentials, qualifications, or certifications of any coach on the platform. Athletes engage with coaches' programs at their own risk.

Coaches may create and upload training programs, exercises, descriptions, notes, and other content ("User Content"). By submitting User Content, you:

• Represent that you own or have the rights to submit the content
• Grant Y Performance a non-exclusive, worldwide, royalty-free license to host, store, transmit, and display the content solely to operate the Service
• Remain solely responsible for the accuracy, legality, and appropriateness of your content

We do not claim ownership of your User Content. We reserve the right to remove content that violates these Terms.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Impersonate any person or entity or misrepresent your affiliation
• Upload or transmit content that is defamatory, obscene, or infringes third-party intellectual property rights
• Attempt to gain unauthorized access to any part of the Service
• Scrape, crawl, or systematically extract data from the Service without written consent
• Reverse engineer, decompile, or disassemble any portion of the Service
• Interfere with or disrupt the integrity or performance of the Service

THE SERVICE IS NOT A MEDICAL SERVICE AND IS NOT INTENDED TO PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

The training programs, exercises, and content available on the Service are provided for informational and fitness purposes only. Nothing on the Service constitutes medical advice.

Before beginning any exercise program, you should consult with a qualified physician or healthcare provider, especially if you have pre-existing medical conditions, are pregnant or postpartum, or have experienced recent injury or surgery.

You acknowledge that physical exercise carries inherent risks, including the risk of injury. By using the Service, you voluntarily assume these risks. Y Performance is not responsible for any injury, illness, or adverse outcome resulting from use of the Service.

The Service and its original content, features, and functionality are and remain the exclusive property of Y Performance and its licensors, protected by applicable intellectual property laws. The Y Performance name and logo are trademarks of Y Performance. You may not use our trademarks without prior written permission.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Y PERFORMANCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL.

In no event shall our total liability to you exceed the greater of (a) the amount you paid to Y Performance in the twelve months preceding the claim, or (b) USD $100.

You agree to defend, indemnify, and hold harmless Y Performance and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms. You may terminate your account at any time by contacting us at y-performance-support@corevinus.com.

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any dispute shall first be subject to good-faith negotiation before proceeding to binding arbitration, except that either party may seek injunctive or equitable relief for matters involving intellectual property.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Y Performance. If any provision is found unenforceable, the remaining provisions remain in full force. Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
